Position Summary

We are seeking an experienced Corporate Paralegal to join our Legal Operations team. This role provides substantive legal and compliance support to the General Counsel and Legal Department across corporate governance, entity management, professional licensing, contract administration, litigation, risk management, legal research, and strategic corporate transactions.

Overseeing corporate compliance and entity maintenance activities, this position supports complex legal matters through legal research, document preparation, risk analysis, and project coordination, and works closely with the Director of Legal & Compliance. The ideal candidate is proactive, brings a consultative approach, and possesses a high-level of business acumen.

Responsibilities

Corporate Compliance, Entity Management & Licensing

  • Manage corporate compliance, entity maintenance, business registrations, licensing, annual filings, regulatory requirements, and related records across multiple jurisdictions.

  • Coordinate with regulatory agencies, registered agents, compliance vendors, insurance providers, and external partners.

  • Monitor compliance deadlines, identify risks, conduct research, and prepare required filings and reports.

Corporate Governance

  • Prepare, maintain, and organize corporate governance documents, including resolutions, consents, organizational records, and ownership-related documentation.

  • Support corporate reorganizations, entity changes, and governance initiatives.

Contracts & Legal Support

  • Conduct preliminary reviews of commercial agreements, identify legal and business risks, and prepare redlines, summaries, and recommendations.

  • Draft and revise contracts, amendments, notices, waivers, and other legal documents.

  • Maintain contract templates, playbooks, and standard legal provisions.

Litigation, Risk Management & Legal Research

  • Support litigation, claims, subpoenas, legal holds, discovery, insurance matters, and outside counsel management.

  • Conduct legal and regulatory research, prepare summaries and memoranda, and assist with investigations and compliance reviews.’

Mergers, Acquisitions & Consolidations

  • Support mergers, acquisitions, divestitures, reorganizations, and transaction readiness activities, including due diligence and document review.

  • Prepare transaction-related summaries, consent matrices, assignments, notices, and supporting documentation.

Legal Operations & Departmental Support

  • Manage outside counsel engagements, legal billing, reporting, and department metrics.

  • Manage legal department communications, coordinate legal requests, provide cross-functional support, and perform other legal, compliance, governance, and paralegal duties as assigned.

Qualifications & Skills

  • Bachelor's degree or Paralegal Certificate from an ABA-approved program. Certified Paralegal (CP) or equivalent certification is preferred.

  • 5+ years of corporate paralegal experience in an in-house legal department or corporate law firm is required.

  • Experience with contract lifecycle management, corporate transactions, and legal operations.

  • Strong knowledge of corporate governance, business entities, contract review, litigation management, and regulatory compliance.

  • Excellent legal research and writing skills, with the highest level of professionalism and confidentiality. organizational and project management skills.

  • Strong organization and project management skills with the ability to manage multiple priorities simultaneously.

Location

  • Hybrid position based out of Fort Worth, TX.
